PROTOCOL FOR THE ST. MAARTEN, SABA AND STATIA RECOVERY EFFORT This protocol (this “Protocol”) is entered into as of September 11, 2017 (the “Effective Date”) by and between the supporting entities, institutions and organizations active in the fields of enterprise, services, commerce and industry in Curaçao, Kingdom of the Netherlands, listed on the signatory pages hereof (the “Supporting Organizations”). WHEREAS the Kingdom of the Netherlands islands of St. Maarten, Saba and Statia have suffered immense damage from the passing of hurricane Irma on or about September 6, 2017. WHEREAS as a result, in particular the economy of St. Maarten has come to a complete stop and it will take large investments in people, infrastructure and enterprise for the economies of St. Maarten, Saba and Statia to fully recover. WHEREAS the Supporting Entities, on behalf of their members, participants and the communities of enterprise, services, commerce and industry in Curaçao, wish to make a joint and structured effort to provide assistance, knowledge, equipment, goods and funds for the benefit of the economic recovery of St. Maarten, Saba and Statia. NOW, THEREFORE, IT IS MUTUALLY AGREED AS FOLLOWS: I. Mission The Supporting Organizations will, to the best of their knowledge and up to their means, cooperate with each other in a joint and structured effort to provide assistance, knowledge, equipment, goods and funds for the benefit of the economic recovery of St. Maarten, Saba and Statia (the “Recovery Effort”). II. Recovery Committee 1. All activities in connection with the Recovery Effort will be structured through a committee called the “SSS Recovery Committee”, which the Supporting Organizations hereby establish. 2. The SSS Recovery Committee consists of up to five (5) members, which shall be appointed for the first time by this Protocol, and thereafter appointed or dismissed by a majority vote of the Supporting Organizations. The members shall be knowledgeable in the fields of inter alia business, economy, legal, accounting, logistics, engineering or technique. They shall as much as possible have affinity with St. Maarten, Saba and Statia. 3. The first members of the SSS Recovery Committee are: (1) Eric R. de Vries, residing in Curaҫao (2) Billy Jonckheer, residing in Curaҫao (3) Dave E. Liqui-Lung, residing in Curaҫao (4) Henk de Zeeuw, residing in Curaҫao (5) Rose Boevé, residing in Curaҫao 4. The tasks and duties of the SSS Recovery Committee are: 2 - To assist and represent the Supporting Organizations in relation to the Recovery Effort. - To investigate and report the needs and requirements of the members, participants and the communities of enterprise, services, commerce and industry in Sint Maarten, Saba and Statia in line with the Recovery Effort, as much as possible through the counterparts of the Supporting Organizations in those territories and their respective disaster recovery teams (the “Needs and Requirements”). - To communicate the Needs and Requirements to the Supporting Organizations in order to make collective efforts to meet them. - To organize other events or collective efforts to obtain, collect or raise assistance, knowledge, equipment, goods and funds for the Recovery Effort. - To manage one or more accounts in the name of the SSS Recovery Committee in which funds contributed for the Recovery Effort shall be deposited and from which contributions to the Recovery Effort shall be made. - To periodically report to the Supporting Organizations on the progress of the Recovery Effort. - To provide yearly accounting of the activities in connection with the Recovery Effort. - To do and perform such other matters in relation to the Recovery Effort as the Supporting Organizations shall request. 5. The Recovery Committee takes decisions and is represented in and out of court by a majority of its members, acting jointly, as much as possible after consultation with the other member(s). III. Meeting of Supporting Organizations 1. The Supporting Organizations shall establish a meeting (the “Meeting”) in which their respectively appointed delegates for purposes of this Protocol (the “Delegates”) shall participate. 2. Each Supporting Organization shall grant its Delegate sufficient power of representation in relation to the SSS Recovery Committee and other purposes of this Protocol. 3. All decision of the Supporting Organizations in relation to this Protocol shall be taken in the Meeting by majority vote. 4. The Meeting supports the SSS Recovery Committee with guidance and advice. IV. Costs and Expenses 1. The members of the SSS Recovery Committee and the Delegates shall contribute their time, knowledge and resources on a voluntary basis and without any charge. 2. All actual costs and expenses otherwise made by the SSS Recovery Committee or the Meeting shall be paid or reimbursed solely from collected funds, or, if they choose to do so, by the Supporting Organizations separately or equally. 3. If the SSS Recovery Committee believes that substantial costs and expenses shall be made that the Supporting Organizations must carry, it shall draw up a budget reflecting same and submit the same for approval to the Meeting. 3 V. Miscellaneous 1. Each member of the SSS Recovery Committee, each Supporting Organization and each Delegate, shall have one equal vote in connection with this Protocol and the execution thereof. 2. Entities, institutions and organizations active in the fields of enterprise, services, commerce and industry in Curaçao that are not yet Supporting Organizations may join this Protocol by expressing interest to do so to the SSS Recovery Committee and then, upon invitation, co-signing this Protocol. 3. Each Supporting Organization may resign from this Protocol upon at least 30 days’ written notice, directed to the SSS Recovery Committee, without regard to its obligations hereunder incurred prior to such resignation.
